Buyer Terms & Marketplace Agreement

Effective Date: April 23, 2026

1. Acceptance of Terms

By clicking "I Agree & Continue," you ("Buyer" or "you") enter into a legally binding agreement with Rooted Marketplace ("Rooted," "we," "us," or "our") governing your use of the Rooted Marketplace platform (the "Marketplace") and any purchases made thereon.

These terms supplement and are incorporated into Rooted's general Terms of Service and Privacy Policy, which you are also bound by as a user of the Marketplace.

2. Nature of Rooted's Role — Platform Only

Rooted operates solely as a technology platform and marketplace facilitator. Rooted is not a retailer, reseller, manufacturer, distributor, or agent of any seller ("Merchant") operating on the Marketplace. Rooted does not take title to, possess, inspect, warehouse, or otherwise handle any goods listed or sold through the Marketplace.

Your purchase contract is exclusively between you and the applicable Merchant. Rooted is not a party to any transaction between you and a Merchant and accepts no obligations arising from such transactions.

3. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ROOTED MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, WITH RESPECT TO ANY GOODS, PRODUCTS, OR SERVICES LISTED, OFFERED, SOLD, OR DELIVERED THROUGH THE MARKETPLACE, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability, fitness for a particular purpose, or non-infringement;
  • Warranties as to the accuracy, completeness, or reliability of product descriptions, images, specifications, pricing, or availability;
  • Warranties as to the quality, safety, legality, authenticity, or condition of any goods;
  • Warranties as to whether a Merchant''s goods comply with any applicable federal, state, local, or international laws, regulations, or standards;
  • Warranties regarding the delivery, shipment, or physical condition of goods upon receipt.

ALL GOODS ARE PROVIDED "AS IS" AND "AS AVAILABLE" BY THE APPLICABLE MERCHANT. ROOTED EXPRESSLY DISCLAIMS ALL WARRANTIES TO THE FULLEST EXTENT PERMITTED BY LAW.

4. Limitation of Rooted's Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ROOTED, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR:

  • Any direct, indirect, incidental, special, consequential, exemplary, or punitive damages;
  • Loss of profits, revenue, data, goodwill, or business opportunities;
  • Personal injury, property damage, or death arising from or related to goods purchased through the Marketplace;
  • Product defects, product liability claims, or failure of goods to perform as described;
  • Fraudulent, negligent, or unlawful conduct by any Merchant;
  • Non-delivery, late delivery, or incorrect delivery of goods;
  • Any claims arising under consumer protection statutes related to Merchant goods or conduct.

In the event that Rooted is found liable to you for any reason, Rooted''s aggregate, cumulative liability shall in no event exceed the lesser of (a) the platform service fees actually collected by Rooted in connection with the specific transaction giving rise to the claim, or (b) fifty U.S. dollars ($50.00).

5. Merchant Responsibility & Independent Sellers

Each Merchant on the Marketplace is an independent third party, not an employee, agent, joint venture partner, or representative of Rooted. Merchants are solely responsible for:

  • The accuracy of product listings, descriptions, images, and pricing;
  • The quality, safety, and legality of goods offered for sale;
  • Fulfillment, shipment, and delivery of all orders;
  • Handling returns, exchanges, refunds, and warranty claims;
  • Compliance with all applicable product safety, labeling, and consumer protection laws;
  • Any express or implied warranties made in connection with their goods.

Rooted does not endorse, guarantee, or verify Merchant claims. You should review each Merchant''s individual policies, ratings, and reviews prior to completing a purchase.

6. No Product Liability for Rooted

Rooted shall have no product liability whatsoever for any goods transacted through the Marketplace. All product liability, strict liability, negligence, breach of warranty, and similar claims arising from goods purchased through the Marketplace are the exclusive responsibility of the Merchant that manufactured, distributed, or sold such goods. You expressly release Rooted from any and all such claims, demands, and causes of action.

7. Dispute Resolution — Merchant Transactions

Disputes arising from a Merchant transaction (including, but not limited to, non-delivery, product defects, misrepresentation, or refund disputes) must first be directed to the applicable Merchant. Rooted may, at its sole and absolute discretion, offer a good-faith buyer support process, but such support does not constitute an assumption of liability or an obligation to resolve any dispute.

Any claims you cannot resolve with a Merchant must be pursued directly against the Merchant, not Rooted.

8. Indemnification

You agree to indemnify, defend, and hold harmless Rooted and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys'' fees) arising out of or in connection with: (a) your use of the Marketplace; (b) any transaction between you and a Merchant; (c) your violation of these terms; or (d) your violation of any applicable laws or third-party rights.

9. Governing Law & Dispute Resolution

These terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law principles. Any dispute between you and Rooted that cannot be resolved informally shall be resolved through binding individual arbitration under the rules of the American Arbitration Association (AAA), and you waive any right to participate in a class action lawsuit or class-wide arbitration.

10. Modifications & Severability

Rooted reserves the right to modify these terms at any time. Continued use of the Marketplace following notice of any modification constitutes acceptance. If any provision of these terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

Buyer Acknowledgment & Acceptance

By clicking "I Agree & Continue" on the digital platform, Buyer acknowledges having read, understood, and agreed to all terms of this Rooted Marketplace Buyer Agreement in their entirety.
